Responsive, client-focused corporate and commercial transactional attorney.

As a member of Downs Rachlin Martin's Business Law Group, Mary Parent works with a wide variety of local and national businesses to advise them with respect to corporate and commercial legal affairs. When Mary engages with a client, she does so at the strategic level, collaborating with clients to propose solutions that benefit their businesses, whether working through issues in connection with an acquisition of key assets, negotiating a commercial lease for a preferred location, assisting a newly-formed entity with respect to their corporate governance and operation, or assisting a company as it sells its assets or dissolves. Mary's clients describe her as responsive to their needs and goals, and appreciate how she documents their transactions in a reasonable manner, using plain English documents, without "over-lawyering." She has experience with a broad range of transactions from financing, venture capital, mergers and acquisitions to succession planning and assisting non-profit corporations with obtaining 501(c)(3) status.

Before joining DRM, Mary was associated with Choate, Hall & Stewart LLP in Boston, where her work included general corporate and securities matters, debt and equity financing, private placements and mergers and acquisitions.

Experience
  • Advised a U.S. client in connection with the purchase of assets of a U.S. manufacturing facility, including conducting extensive due diligence and handling, at times, difficult negotiations. In doing so, she worked closely with the company's general counsel, who was located in Switzerland, to successfully close the transaction, even when a "deal breaker" issue almost caused it to not close on the eve of closing.
  • Assisted a client with formation of 501(c)(3) non-profit corporation, including working with the client to secure expedited IRS review of application. As a result of rapid IRS approval, the client was able to apply for and secure grant funding for a significant project.
  • Worked with a multinational client to successfully negotiate a contract with a payroll service provider. The client needed the contract to be put in place rapidly. The provider presented multiple contracts for various countries, and Mary was able to work directly with the service provider's general counsel to simplify the transaction, efficiently narrowing the multiple contracts to a single master contract. The client was thus able to smoothly transition to the new provider without having issues with payroll in the interim.
  • Routinely prepares local counsel opinions for Vermont and New Hampshire financings.
  • Negotiates and prepares loan documentation, including enforceability opinions, on both the lender- and borrower-side, for loans secured by solar projects.
  • Created forms of subcontract for an energy efficiency corporation doing business in multiple states, and worked with the client to develop a process to streamline the creation, review, approval and organization of the contracts.
  • Assists a manufacturing client with the negotiation of leases for the client’s manufacturing and laboratory facilities in various U.S. states and Canadian provinces.
  • Handles contracting process for an NGO that subcontracts projects funded by state and federal grants, from implementation of forms to production of each individual contract and ensuring government compliance is met, including filing of FFATA reports.
  • Represents a technology client expanding its business worldwide with negotiations with its customers and sales representatives, and works with the team at DRM to ensure protection of the client’s intellectual property, confidentiality and compliance with regulatory requirements, including REACH, in each new country where client is selling products.
